1. General
These Terms and Conditions govern your access to and use of Sulite Lighting’s products, services, and website. By visiting our site, placing an order, or using our services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions, as well as all applicable laws of the Republic of the Philippines. Sulite Lighting reserves the right to modify, update, or amend these Terms and Conditions at any time without prior notice. Continued use of our services constitutes acceptance of any such changes.
2. Products and Services
Sulite Lighting provides a wide range of lighting solutions, including but not limited to residential, commercial, architectural, and industrial lighting products. We operate through both retail and wholesale channels. While we strive to ensure accurate product descriptions, images, and specifications, these are for illustrative purposes only. Actual products may vary in appearance, size, color, and design due to manufacturing tolerances, lighting conditions, or supplier variations. Availability of products is subject to stock levels and may change without prior notice.
3. Ordering and Payment
Orders may be placed via our website, email, in-person transactions, or through authorized sales representatives. Customers are responsible for ensuring that all order details, including product codes, quantities, delivery address, and contact information, are accurate.
Payment must be made in full prior to delivery for retail transactions, or in accordance with agreed credit terms for wholesale clients. Accepted methods of payment include cash, bank transfer, or other mutually agreed modes. Sulite Lighting reserves the right to withhold delivery of goods until payment is fully cleared.
4. Pricing and Taxes
All prices are in Philippine Pesos (PHP) and include applicable taxes unless expressly stated otherwise. Prices are subject to change due to fluctuations in market conditions, supplier costs, exchange rates, or other factors beyond our control. Promotional pricing, discounts, and special offers are valid only during the specified period and cannot be applied retroactively. Customers are responsible for any additional fees, duties, or charges imposed by third-party delivery services or government agencies.
5. Delivery, Shipping, and Risk of Loss
Sulite Lighting will make reasonable efforts to deliver orders within the estimated timeframe provided. However, delivery dates are indicative only and may be affected by unforeseen circumstances such as supply chain disruptions, natural disasters, traffic conditions, or carrier delays.
Risk of loss or damage passes to the buyer upon delivery of goods. Customers must inspect deliveries upon receipt and report any discrepancies, damages, or missing items within 24 hours. Failure to do so may affect claims for replacement or refund. Customers are responsible for providing complete and accurate delivery information. Additional charges may apply for incorrect, incomplete, or remote delivery addresses.
6. Returns, Refunds, and Exchanges
Sulite Lighting accepts returns or exchanges within seven (7) days from receipt of goods, provided that the items are unused, in original packaging, and accompanied by proof of purchase. Customized, special-order, or clearance products are non-refundable and non-exchangeable.
Refunds, when approved, will be processed through the original payment method or other mutually agreed arrangements, after inspection and verification of the returned goods. Sulite Lighting reserves the right to reject returns that do not meet these conditions.
7. Warranty
Sulite Lighting offers warranties as indicated for specific products. Selected products carry a five (5) year limited warranty covering manufacturing defects only. This warranty does not cover damages caused by improper installation, misuse, neglect, accidents, natural disasters, or unauthorized repairs. Warranty claims must be accompanied by proof of purchase and relevant documentation. Sulite Lighting reserves the right to repair, replace, or refund defective products at its discretion.
8. Installation and Use
For safety and optimal performance, all lighting products should be installed according to manufacturer guidelines and local electrical codes. Customers assume responsibility for proper installation, maintenance, and operation of products. Sulite Lighting shall not be held liable for damages, injuries, or losses resulting from improper installation, use, or modifications of products.
9. Intellectual Property
All content on Sulite Lighting’s website, including but not limited to logos, images, product descriptions, text, and designs, are intellectual property owned by Sulite Lighting and protected under Philippine Intellectual Property laws. Unauthorized use, reproduction, or distribution of such content without prior written consent is strictly prohibited.
10. Limitation of Liability
Sulite Lighting is not liable for any indirect, incidental, or consequential damages arising from the use or inability to use our products or services. Our liability for defective products is limited to repair, replacement, or refund, at our sole discretion. This limitation does not exclude liability for death or personal injury caused by gross negligence or willful misconduct, as provided under Philippine law.
11. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of the Republic of the Philippines. Any dispute arising from transactions with Sulite Lighting shall first be attempted to be resolved amicably through mutual discussions. If a resolution cannot be reached, the dispute shall be subject to the exclusive jurisdiction of Philippine courts with venue in Metro Manila.
12. Data Privacy
Sulite Lighting complies with the Philippine Data Privacy Act of 2012. Customer information is collected, processed, and stored solely for purposes of order processing, delivery, warranty claims, and marketing communications, if consent has been provided. We implement reasonable administrative, technical, and physical measures to protect personal data from unauthorized access, use, or disclosure.
